Ashurst Perkins Coie has advised NORMA Group SE (“NORMA Group”) on its second public share buyback offer with an aggregate volume of approximately EUR 208 million.
The public offer comprised the repurchase of up to 9,306,487 NORMA Group shares at a fixed offer price of EUR 22.35 per share. The offer included tradable tender rights, which were admitted to trading on the Frankfurt Stock Exchange, as well as a final allocation. The offer was significantly oversubscribed.
In total, NORMA Group acquired 9,306,113 of its own shares, representing approximately 29.21 per cent of its current share capital. The repurchased shares will be cancelled on the basis of the resolution adopted by the Annual General Meeting on 1 July 2026, with the share capital being reduced accordingly.
The share buyback offer marked the final step in NORMA Group’s previously announced return of capital to its shareholders totalling approximately EUR 260 million in connection with the sale of its Water Management business. NORMA Group had already completed an initial share buyback with a volume of approximately EUR 53 million in spring 2026.
